Successful defence of Ukrainian shareholder in corporate dispute in Lithuania

Misechko & Partners Law Firm successfully represented a Ukrainian shareholder in a corporate dispute in Lithuania involving UAB Feratransa, a company specializing in freight railcar leasing.
 
The case arose after the shareholders resolved to increase the company’s share capital to expand its fleet. Our client fulfilled their contribution obligation but, due to an administrative error, also mistakenly paid the portion owed by another shareholder.
 
Upon identifying the overpayment, our client requested reimbursement of the excess funds. The company agreed: the overpaid amount was returned, and the share capital was accordingly reduced by deducting the amount from the other shareholder’s contribution.
 
The opposing shareholder challenged this decision before the Vilnius District Court, seeking to invalidate the share capital reduction and, consequently, the adjustment to his shareholding.
 
The Vilnius District Court dismissed the claim, fully upholding the legality of the company’s actions. This decision was subsequently affirmed by both the Lithuanian Court of Appeal and the Supreme Court of the Republic of Lithuania.
 
This case is a notable example of protecting the interests of Ukrainian investors and demonstrates the effective resolution of corporate disputes within the legal system of the European Union.
