Registration of a foreign representative office in Ukraine

Legal changes as of 03 September 2024
As of 03 September 2024, important amendments to the procedure for registering foreign representative offices have come into force following Law No. 3257-IX. From this date, the Ministry of Justice of Ukraine is the sole authority responsible for registration. The previous registration powers of the Ministry of Economy have been officially revoked.

  • Preparation and submission of all documents to the Ministry of Justice,
  • Registration with tax and pension authorities,
  • Ordering and arranging the company seal,
  • Support in opening a Ukrainian bank account (upon request),
  • Providing legal address and accounting services for the representative office (if needed).
Cost of legal support: EUR 1500.00
 
Required documents
  • Resolution on the establishment of a representative office,
  • Extract from the trade (or bank) register of the head company's country (issued not older than one month as of the date of submission),
  • Ownership structure of the parent company,
  • Notarized copy of the UBO’s passport (issued not older than three months as of the date of submission),
  • Power of attorney to act in Ukraine (as per local law of the HQ),
  • Regulations on the foreign representative office.
Legalization & translation requirements
  • All documents must be notarized in the country of origin,
  • Legalized (apostilled) through Ukrainian consular authorities (unless exempt under treaty),
  • Accompanied by a certified Ukrainian translation.
Timeframe & administrative Fee
  • Registration time: 5 business days,
  • State fee: One subsistence minimum (UAH 3328.00 as of Jan 1, 2026).
